Chapter 8 - The Boardroom War

The silence that followed Ethan’s declaration was absolute. You could have heard a pin drop on the thick carpet.
Richard Vance blinked, his smug smile freezing on his face like a bad mask. He stared at the diamond ring gleaming on Natalie’s finger, then up at Ethan’s impenetrable expression.
"Engaged?" Richard sputtered, leaning forward. "That’s... that’s absurd! You expect this board to believe you suddenly happened to be engaged to your assistant right when a misconduct scandal breaks?!"
"It’s not sudden," a calm, measured voice spoke from the center of the table.
It was Eleanor Vance—no relation to Richard, and the longest-serving, most respected independent board member at Coleman Avery Technologies. She adjusted her glasses, peering down at the documentation and then over at Natalie and Ethan. "Mr. Coleman registered the personal acquisition of a custom jewelry item with company legal compliance three months ago, under confidential family trust provisions. I happen to know because I sign off on the trust audits."
Richard’s face drained of color. "Eleanor, that's—that's a coincidence! They fabricated this to cover their tracks!"
"Under corporate governance bylaws, section fourteen, paragraph six," Ethan recited smoothly, his voice echoing authoritatively across the boardroom, "pre-existing family and marital relationships among executive staff are fully exempt from fraternization penalties, provided they are formally declared to the board within seventy-two hours of any internal dispute. Which we are doing right now."
David Sterling, sitting quietly in the corner, bit the inside of his cheek to keep from grinning.
"Furthermore," Ethan continued, his eyes locking onto Richard Vance with a predatory chill, "executive privacy clauses strictly prohibit the weaponization of personal relationships during corporate acquisition votes. What Mr. Vance and his associates have engaged in—snooping through trash cans, acquiring private garage logs without a court order, and attempting to blackmail the CEO—is a severe violation of federal wiretap and privacy laws."
Marcus Vance went completely pale, sliding back into his chair at the rear of the room as if trying to shrink into invisibility.
Richard slammed his hands on the table, standing up so fast his chair screeched against the floor. "This is a kangaroo court! We call for an immediate vote on the Vanguard acquisition package! If you won't fire him for this, we'll strip him of his voting shares!"
"All those in favor of Richard Vance's motion to reject the CEO and accept the Vanguard restructuring package," Eleanor Vance announced loudly, raising her hand.
Only two other hands went up—the other Vanguard proxy directors.
"All those opposed?" Eleanor continued.
Six hands went up instantly, followed by two more, and finally, every single independent member of the board.
"The motion fails," Eleanor stated, dropping her gavel with a satisfying *thud*. "Coleman Avery remains under current leadership. And as for Vanguard's hostile takeover bid... it is formally rejected, unanimously."
Richard Vance stared around the room in utter disbelief. He grabbed his briefcase, glared viciously at Ethan and Natalie, and stormed out of the boardroom, slamming the heavy doors behind him.
