Chapter 4 - The Boardroom Ambush

By noon, the industrial park was crawling with county deputies, commercial vehicle enforcement inspectors, and two furious representatives from the state environmental safety board.

Because Chloe had attempted to illegally sign a HazMat transport waiver without proper state authorization to clear Marcus's truck, the state inspectors had immediately red-tagged the facility. An official orange "CEASE AND DESIST" notice was now plastered directly over the front glass entrance of the corporate office.

I sat in the conference room of Miller & Vance, Attorneys at Law, on the twelfth floor of the downtown financial tower.

My lawyer, Frank Miller, was a sixty-year-old corporate veteran with silver hair, sharp steel-rimmed glasses, and a reputation for dismantling hostile takeovers with surgical precision. Across from us sat my father and mother. Chloe sat between them, her eyes red and puffy, clutching a crumpled tissue while my father glared at me with open hatred.

Their family lawyer, a sweat-stained strip-mall attorney named Harold Geller, was furiously flipping through a thick binder of loan agreements.

"This is unconscionable bad faith!" Geller shouted, slamming his hand onto the mahogany table. "Mr. Richard Jenkins exercised a fully legal equity conversion clause pursuant to the 2018 seed-money loan! His daughter, Chloe Jenkins, was duly appointed Chief Executive Officer! Evan Jenkins’s deliberate stripping of operational assets constitutes a tortious breach of fiduciary duty, conversion of corporate property, and outright theft!"

Frank Miller didn't even blink. He adjusted his glasses, leaned back in his leather chair, and slid a thin blue folder across the table toward Geller.

"Counselor," Frank said in a calm, lethal drawl, "I suggest you read Exhibit C before you utter another slanderous word that might expose your clients to criminal counter-claims."

Geller frowned, pulling the folder toward him. Richard leaned in over Geller’s shoulder.

"What is that?" Richard snapped. "More legal tricks?"

"That," Frank explained, "is the signed and notarized Partnership Dissolution and Asset Segregation Agreement executed between Richard Jenkins and Evan Jenkins five years ago."

Richard froze. His face went pale. "What... what are you talking about? We never signed any agreement five years ago!"

"July 14th, 2021," I spoke up, looking my father directly in the eye. "Do you remember when you wanted to buy that condo in Sarasota, Dad? You needed sixty thousand dollars in clean, unencumbered cash to satisfy the mortgage underwriting. You came to my office and asked me to buy out your passive equity shares."

Richard's mouth opened, but no sound came out.

"You told me it was just a temporary paper shuffle," I continued, feeling a cold satisfaction settle in my chest. "You said you needed your name off the logistics corporate liability so the mortgage underwriters wouldn't scrutinize your debt-to-income ratio. You signed an asset-carveout agreement. In exchange for the sixty thousand dollars I wired to your personal bank account, you legally surrendered all future conversion rights on the 2018 seed loan."

"No..." Richard whispered. "That was... that was just for the bank! That wasn't real!"

"It was filed with the Secretary of State, notarized by a licensed public official, and countersigned by your own accountant," Frank Miller said, tapping the document with his pen. "Which means, Mr. Jenkins, the predatory conversion clause you attempted to execute three days ago was legally void ab initio. It had zero legal standing."

Eleanor let out a sharp gasp, grabbing her husband's arm. "Richard? What does that mean? What does he mean, void?"

"It means," Frank Miller said, raising his voice so it rang through the boardroom, "that your 'hostile takeover' was actually an illegal, unauthorized seizure of an independent business entity. It means your daughter Chloe has been operating as an unauthorized impersonator of corporate management. And it means that the three hundred thousand dollars in commercial DOT fines, breach-of-contract penalties, and landlord lease liabilities currently piling up at the warehouse are not the responsibility of Evan Jenkins."

Chloe turned toward her father, her eyes wide with mounting hysteria. "Dad? You told me you owned fifty-one percent! You told me it was airtight! You swore to me I was legally protected!"

"I... I forgot about that document," Richard stammered, wiping sweat from his forehead with a trembling hand. "Evan, you gave me that paper to sign when I was stressed about the Florida house! You tricked me!"

"You didn't forget, Dad," I said coldly. "You just thought I was still that naive twenty-two-year-old kid who worshipped his father and would do anything to earn his approval. You thought you could take my cash in 2021, keep the original loan paperwork in your drawer, and pull it out whenever you felt like stealing my life's work to hand it to Chloe."

"We are family!" Eleanor shrieked, tears spilling over her mascara. "How could you do this to your own sister? Look at her! Her career will be ruined before it even begins! She could go to jail for this!"

"Then she shouldn't have worn my company like a designer coat she didn't pay for," I replied.

Geller, their lawyer, closed his binder with a dull snap. He looked at Richard with utter disgust. "Richard... you didn't disclose the 2021 buyout agreement to me."

"Harold, listen to me—"

"No, Richard," Geller said, standing up and gathering his briefcase. "You lied on the corporate disclosure forms. You instructed me to file a hostile board restructuring on a nullified debt instrument. That is fraud upon the court. I am withdrawing as your counsel immediately. I strongly advise you to hire a criminal defense attorney."

Geller walked out of the conference room, the heavy door clicking shut behind him.

Chloe buried her face in her hands, sobbing uncontrollably. Richard sat frozen, his pride stripped away, looking like an old, broken man who had finally realized the ground beneath his feet was gone.
